1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and HAYO PAY LIMITED (“HayoPay,” “we,” “our,” or “us”) governing your access to and use of the HayoPay platform, including our website at hayopay.app, mobile applications, and all related services (collectively, the “Platform”).
By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
2. Account Registration & Eligibility
To use the Platform, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Be a resident of a jurisdiction where the Platform’s services are available
- Provide accurate and complete registration information
- Complete the identity verification (KYC) process as required
- Not be subject to any sanctions, embargoes, or restrictions that would prohibit your use of the Platform
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify HayoPay immediately at support@hayopay.app of any unauthorized use.
HayoPay reserves the right to suspend or terminate accounts that violate these Terms, are involved in suspicious activity, or fail to complete required verification procedures.
3. Services Provided
3.1 Digital Wallet
The Platform provides a digital wallet interface for managing funds. Wallet balances are maintained by HayoPay’s licensed financial partners. The wallet allows you to view balances, initiate transactions, and track financial activity.
3.2 Prepaid Cards
HayoPay facilitates access to prepaid card services provided by licensed financial institutions. Card issuance, management, and related services are governed by the terms and conditions of the issuing financial institution. HayoPay itself does not issue payment cards or hold customer funds.
3.3 Currency Conversion
The Platform may offer the ability to convert between supported currencies and digital assets. Conversion rates are determined in real time and may fluctuate. HayoPay does not guarantee specific rates or availability of conversion services at any time. All conversions are final once confirmed.
3.4 Identity Verification
All users must complete identity verification (KYC) before accessing certain Platform features. Verification is conducted through third-party providers and is subject to their processing times and requirements.
4. Fees & Charges
Certain services on the Platform are subject to fees, including but not limited to:
- Card issuance and annual maintenance fees
- Currency conversion fees and exchange rate margins
- Top-up and withdrawal fees
- ATM usage fees (where applicable)
- Inactivity fees for dormant accounts
All applicable fees will be clearly disclosed before you confirm a transaction. Fee schedules are available on the Platform and may be updated from time to time. Continued use of the Platform after fee changes constitutes acceptance of the revised fees.
5. User Responsibilities
As a user of the Platform, you agree to:
- Provide accurate, current, and complete information
- Keep your account credentials secure and confidential
- Promptly report any unauthorized access or security breaches
- Use the Platform only for lawful purposes
- Comply with all applicable laws and regulations in your jurisdiction
- Not share your account with others or allow others to access your account
6. Prohibited Activities
You agree not to use the Platform to:
- Engage in any unlawful, fraudulent, or deceptive activity
- Launder money, finance terrorism, or engage in other financial crimes
- Provide false or misleading information during registration or verification
- Attempt to circumvent security measures, access restrictions, or transaction limits
- Interfere with, disrupt, or overburden the Platform’s infrastructure
- Use automated means (bots, scrapers) to access the Platform without authorization
- Resell, sublicense, or commercially exploit Platform access
- Violate the intellectual property rights of HayoPay or third parties
- Conduct transactions involving sanctioned individuals, entities, or jurisdictions
7. Intellectual Property
The Platform, including its design, features, content, trademarks, logos, and proprietary technology, is owned by HAYO PAY LIMITED and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.
You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Platform or any of its components without our prior written consent.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.
9. Disclaimers & Limitation of Liability
9.1 Service Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
HayoPay does not guarantee uninterrupted or error-free access to the Platform. Services may be temporarily unavailable for maintenance, upgrades, or reasons beyond our control.
9.2 Financial Disclaimers
HayoPay does not provide financial, investment, or tax advice. Digital asset conversion involves inherent risks including price volatility. You are solely responsible for evaluating the risks of any transaction.
9.3 Limitation of Liability
To the maximum extent permitted by applicable law, HAYO PAY LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, data, or goodwill.
Our total aggregate liability shall not exceed the fees paid by you to HayoPay in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
You may close your account at any time by contacting support@hayopay.app. Upon closure, we will process any remaining balance according to applicable regulations.
HayoPay reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Failure to complete required identity verification
- Suspected fraudulent or illegal activity
- Regulatory or compliance requirements
- Extended account inactivity
Sections relating to intellectual property, liability limitations, and governing law survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
12. Modifications
HayoPay reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email at least 30 days before they take effect. Your continued use of the Platform following such notice constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and close your account.
